Agreement

Terms and Conditions

Effective and last updated: 26 July 2026

These Terms form a binding agreement between you and Wabi-Sabi Tech Limited when you access or use fondly’s apps, website, video, communication, experience, credit, reimbursement or related services (the “Service”).

fondly is strictly for adults aged 18 and older. By creating an account, you confirm that you are at least 18, can legally enter this agreement and are not prohibited from using the Service.

1. The Service and fondly’s role

fondly provides technology that helps Explorers and Hosts discover one another internationally, communicate, request shared video experiences, use credits, submit receipts and manage eligible expense reimbursements. During an experience, the Host independently carries out the described real-world activity outside the home while the Explorer joins remotely through live video. The Service does not arrange an in-person meeting between the members.

Unless we expressly state otherwise, fondly is not the organiser, host, venue, travel provider, agent, employer, partner or supplier of an experience and does not direct or supervise a Host. We do not inspect, endorse or guarantee a member, venue, activity, product or service, or the quality, suitability, accessibility, legality, safety, accuracy, availability, attendance, conduct, compatibility or outcome of an experience. Members must independently assess the profile, activity, venue and risks before requesting, accepting or participating. Nothing in these Terms limits a responsibility or consumer right that cannot lawfully be excluded.

2. Eligibility, accounts and verification

You must provide accurate, current information; use your real age and identity; maintain only accounts you are authorised to use; protect your credentials and devices; and promptly tell us about unauthorised access. We may request age, identity, payment, receipt or other verification where reasonably needed for safety, fraud prevention, legal compliance or account recovery. Verification does not constitute an endorsement or guarantee. You may not sell, transfer or share an account or evade a restriction by creating another account.

3. Profiles, discovery and communications

Profile information, photos, experience descriptions, chat and other member content must be truthful, lawful and consistent with our Community Guidelines. Discovery, matching, ranking and recommendations may use profile, interest, location, activity and engagement information. They do not guarantee compatibility. Messages and video are for genuine communication and remote participation; recording, publishing or distributing another person’s communications without permission is prohibited unless law permits it.

4. Experiences and member responsibilities

Members decide whether to create, request, accept, join, extend, end or cancel an experience. Hosts must accurately describe the activity, timing, public location, expected expenses, accessibility considerations and material risks. Explorers must review the details and communicate relevant needs before joining remotely. Hosts are responsible for their transport, surroundings, belongings, conduct and compliance with local law; Explorers are responsible for their remote environment, privacy and conduct.

Hosts must obtain and maintain any licence, permit, venue permission, insurance, training or safety equipment required for the activity or location. A listing, request, confirmation, reimbursement or verification by fondly does not confirm that these requirements have been met. Hosts must not carry out or stream an activity when doing so would be unlawful, uninsured where insurance is required, or unreasonably unsafe.

Members must not use the Service to arrange an in-person meeting as part of a fondly experience, or to arrange illegal, dangerous, exploitative or sexually gratifying activity, sexual services, escorting, compensated dating, trafficking, or any exchange of sexual conduct for credits, reimbursements, money, gifts, travel, financial support or anything of value. A private consensual relationship between adults does not permit the Service’s experience, credit or reimbursement systems to facilitate sexual activity. Read our Safety and Reporting guidance. In an emergency, contact the emergency services local to the person at risk; fondly is not an emergency service.

5. Requests, confirmations, extensions and cancellations

A request is not confirmed until the Host accepts it. Availability, calendar information and extension options may change and are not guaranteed. The app will show applicable cancellation, no-show, release or penalty information before confirmation where required. A member must cancel promptly when unable to participate. We may cancel, pause or reverse an experience where necessary for safety, fraud prevention, technical failure, legal compliance or enforcement. Mandatory refund and consumer rights continue to apply.

6. Credits and message credits

Credits and message credits are limited, revocable in-service units, not legal tender, deposits, stored value, investments or property, and do not earn interest. They may be purchased, granted or used only through supported features and may not be sold, transferred, gifted, tipped, exchanged off-platform or redeemed for cash except where the Service expressly permits a Host reimbursement or law requires otherwise. Prices, taxes, system costs, expiry rules and purchase terms displayed at checkout form part of these Terms. App-store purchases are also subject to the relevant store’s billing and refund rules.

7. Expenses, receipts, verification and reimbursements

A Host pays eligible real-world expenses first and may submit an itemised, authentic receipt after a completed experience. Submission does not guarantee approval. We may extract receipt fields automatically and review the merchant, date, location, items, amount, currency, duplication, eligibility and consistency with the experience. The Host must correct extraction errors and is responsible for the submitted information.

Only the eligible, verified amount actually spent may be added to the Host’s reimbursement balance. Personal purchases, tips or gifts where disallowed, compensation for time or companionship, fabricated or altered receipts, duplicate claims and unrelated costs are not eligible. We may request evidence, reject or adjust a claim, reverse an erroneous or fraudulent credit, offset amounts owed, or pause processing during a review or dispute.

If a credit, reimbursement or transaction is recorded incorrectly, fondly may correct the relevant balance or transaction after reasonable investigation. Unless mandatory law requires another remedy, correction of the affected balance or transaction is the primary remedy for a processing error. This does not limit liability for an unauthorised transaction, security failure or other loss to the extent it was caused by fondly and cannot lawfully be excluded or limited.

8. Currency conversion, bank details and payouts

An experience amount may be recorded in the currency associated with its location. After verification, an approved amount may be converted into the Host’s selected payout currency using the exchange-rate source and method applicable when the conversion occurs. Exchange rates fluctuate and the displayed estimate may differ from the final converted amount. Changing payout currency affects future conversions unless the app expressly states otherwise.

Hosts must provide accurate bank, beneficiary, country, tax and payout-currency information and must be entitled to use the destination account. Financial providers, banks, correspondent banks or authorities may impose checks, delays, limits, conversion spreads, taxes or charges outside our control. A payout is not complete until accepted by the relevant provider. Hosts are responsible for personal tax reporting unless law requires fondly to withhold or report.

Displayed balances, exchange-rate estimates and payout dates may be provisional. If a payout fails or is returned, we may restore or correct the eligible balance after deducting only charges that were disclosed or lawfully passed on. You must report a suspected duplicate, incorrect or unauthorised transaction promptly so that we can investigate, without affecting any longer notification period or remedy required by law.

9. Prohibited conduct

You may not harass, threaten, discriminate against, stalk, exploit or impersonate anyone; post pornography, nudity or sexually explicit content; send unwanted sexual content; solicit illegal services, money, gifts, investments, cryptocurrency or off-platform payment; manipulate credits, receipts, currency, reimbursement, payout, referral or cancellation systems; scrape, reverse engineer, disrupt or bypass the Service; introduce malware; misuse personal information; make false reports; infringe rights; or encourage another person to do so.

10. Member content and licence

You retain ownership of content you submit. You grant fondly a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, process, reproduce, adapt, transmit and display that content only as reasonably needed to operate, secure, moderate, support and improve the Service and comply with law. You confirm you have all necessary rights and permissions. This licence ends when content is deleted except for technical backups, content shared with others, safety evidence and records lawfully retained. Feedback may be used without restriction or compensation.

11. Reporting, blocking and moderation

Use the separate in-app Report and Block controls for objectionable content, conduct, fraud or safety concerns. We may use automated tools and human review; request information; remove content; limit discovery, chat, experiences, credits or payouts; warn, suspend or terminate accounts; preserve evidence; reverse improper transactions; and notify authorities where reasonably necessary. We aim to act fairly but do not promise a particular outcome or disclose confidential enforcement details. Knowingly false or abusive reports may themselves violate these Terms.

12. Intellectual property

The Service, software, design, branding and non-member content belong to Wabi-Sabi Tech Limited or its licensors and are protected by law. We grant you a personal, limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. Send intellectual-property notices with identification of the work, allegedly infringing material, contact details, a good-faith statement and proof of authority to info@fondly.app.

13. Third-party services

The Service relies on third parties for authentication, cloud hosting, maps or location, video calling, notifications, payment, banking, receipt processing, diagnostics and app distribution. Their terms and privacy practices may apply. fondly is not responsible for third-party services, venues, products or events outside its reasonable control, but this does not remove any responsibility fondly has under mandatory law.

14. Availability and changes

The Service is provided on an “as available” basis. Features may vary by role, device, location or account status and may be changed, interrupted or discontinued. We do not promise uninterrupted, error-free or permanently available operation. We will provide notice where required before materially reducing a paid ongoing service.

Neither party is responsible for delay or failure caused by circumstances outside its reasonable control, including natural disasters, severe weather, epidemic, war, civil disorder, government action, labour disruption, venue closure, utility or telecommunications failure, or widespread failure of a cloud, banking, payment or app-distribution provider. This does not excuse payment obligations already due, a failure to take reasonable precautions, or any responsibility that cannot lawfully be excluded. The affected party must take reasonable steps to reduce the impact and resume performance.

15. Suspension, termination and deletion

You may stop using the Service and request deletion. We may restrict or terminate access for a material or repeated breach, risk of harm, fraud, legal requirement, chargeback, security issue or prolonged inactivity, with notice where appropriate. Deletion may be temporarily delayed while an active experience, reimbursement, payout, chargeback, report, investigation, tax or legal obligation remains unresolved. Provisions that by nature should survive termination—including ownership, payment, reimbursement, dispute, disclaimer and liability provisions—will survive.

16. Disclaimers

To the fullest extent permitted by law, fondly disclaims implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not conduct comprehensive background checks unless expressly stated, and identity or receipt checks cannot eliminate risk. You are responsible for exercising judgement in profiles, chat, live video and any contact outside the Service. Nothing in these Terms excludes statutory guarantees or other rights that cannot lawfully be waived.

Participation is voluntary. By creating, requesting, accepting or joining an experience, you acknowledge the ordinary and reasonably foreseeable risks of the activity, location, live video interaction and involvement of other members. You remain free to refuse, cancel or end participation when you consider it unsafe or unsuitable. This acknowledgement does not waive any right or remedy, or release fondly from any duty or liability, that cannot lawfully be waived or excluded.

17. Limitation of liability

To the fullest extent permitted by law, Wabi-Sabi Tech Limited and its officers, employees and contractors are not liable for indirect, incidental, special, exemplary, punitive or consequential loss, or loss of profit, opportunity, data or goodwill, arising from the Service, another member, an experience, venue or third party. Where liability may lawfully be limited, our aggregate liability for claims arising in the preceding 12 months will not exceed the greater of the amount you paid to fondly in that period or US$100. This limitation does not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability or consumer remedy that cannot lawfully be limited.

18. Indemnity

To the extent permitted by law, you will indemnify Wabi-Sabi Tech Limited against third-party claims, losses and reasonable costs arising from your unlawful conduct, your experience, your content, your infringement of another person’s rights or your material breach of these Terms. This does not require indemnification for fondly’s own negligence, misconduct or legal responsibility.

19. Apple App Store terms

If you obtain the iOS app through Apple’s App Store, these Terms are between you and Wabi-Sabi Tech Limited, not Apple. Wabi-Sabi Tech Limited, not Apple, is responsible for the app, its content, maintenance, support, warranties and claims relating to the app, including product-liability, legal-compliance, consumer-protection, privacy and intellectual-property claims. Apple has no obligation to provide maintenance or support.

Your licence is personal, limited, non-transferable and permits you to use the app on Apple-branded products you own or control as allowed by Apple’s usage rules, including applicable Family Sharing or volume-purchasing rules. You must comply with applicable third-party terms, including your wireless data agreement. You represent that you are not located in a country or region subject to a United States government embargo or designated as supporting terrorism, and are not listed on a United States government prohibited- or restricted-party list.

If the app fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these App Store provisions against you. Nothing in this section limits fondly’s responsibility or your rights under applicable law. Questions, complaints and claims may be sent to Wabi-Sabi Tech Limited at the address and email in section 22.

20. Disputes and governing law

Contact info@fondly.app first so we can try to resolve a concern. These Terms are governed by Hong Kong law and disputes are subject to the non-exclusive jurisdiction of Hong Kong courts, without depriving you of mandatory consumer protections or the right to bring a claim in a forum available under the law of your residence. Nothing prevents either party from seeking urgent injunctive relief or using an applicable consumer dispute body.

21. General terms

We may update these Terms with reasonable notice of material changes and request renewed acceptance where required. You may not assign your agreement without our consent; we may assign it as part of a merger, reorganisation or transfer of the Service while preserving applicable rights. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Delay in enforcement is not a waiver. These Terms, incorporated policies and transaction disclosures are the entire agreement concerning the Service. English is the controlling version unless local law requires otherwise.
